This Code of Conduct & Agreement ("Agreement") governs the relationship between After School HomeWork – UAE, operating under FutureMinds Education Services FZ-LLC ("the Company", "we", "us"), and the individual tutor ("Tutor", "you"), engaged to deliver tutoring and academic support services to families introduced by the Company. By signing below, or by accepting an assignment through the Company, you agree to be bound by this Agreement.

1. Eligibility & Documentation

1.1 The Tutor confirms they hold a valid Emirates ID and a valid UAE residence visa for the duration of this Agreement, and will notify the Company immediately of any change to this status.

1.2 Where applicable to the Tutor's role, the Tutor confirms they hold, or are actively in the process of obtaining, a valid private tutor permit through the relevant UAE authority (e.g. the MoHRE private tutor permit pathway), and will provide evidence of this status upon request.

1.3 The Tutor confirms that all qualifications, references, and experience presented during the application and screening process are accurate and truthful, and agrees to promptly disclose any material change to this information.

1.4 The Company reserves the right to suspend or terminate this Agreement if any information provided is later found to be false or materially misleading.

2. Nature of the Engagement

2.1 The Tutor is engaged by the Company on the basis set out in a separate assignment or engagement confirmation (which may specify hourly, fixed-session, or monthly rates), and this Code of Conduct forms part of, and is incorporated into, that engagement.

2.2 Nothing in this Agreement shall be construed as creating an employer-employee relationship unless expressly stated in a separate written employment contract. The Tutor's specific engagement status (independent contractor or employee) should be confirmed in that separate document.

2.3 The Tutor agrees to provide services personally and shall not delegate or subcontract any assigned session to another individual without the Company's prior written consent.

3. Professional Conduct

The Tutor agrees to the following standards of conduct at all times while representing the Company:

  • Arrive on time and prepared for every scheduled session.
  • Dress and present themselves professionally.
  • Communicate respectfully and patiently with Students, Parents, and Company staff at all times.
  • Never shout at, humiliate, or use demeaning language toward a Student.
  • Follow the learning plan and materials agreed with the Company or the Parent.
  • Maintain confidentiality regarding any family's personal, academic, or financial information.
  • Refrain from discussing one family's circumstances with another family, tutor, or third party.
  • Notify the Company as early as possible of any inability to attend a scheduled session.

4. Safeguarding

Because the Company's Services involve direct contact with children, the Tutor agrees to strictly observe the following safeguarding rules without exception:

  • Never administer any form of physical discipline or punishment toward a Student, under any circumstances.
  • Never be alone with a Student in a closed private room without the Parent's express consent; sessions should take place in an open or shared space within the home wherever possible.
  • Never engage in private, late-night, or otherwise inappropriate communication with a Student.
  • Communicate about a Student's progress or needs with the Parent, not the Student directly, unless the Parent has explicitly authorized otherwise.
  • Never photograph, record, or share images of a Student without the Parent's prior written consent.
  • Never accept invitations to be alone with a Student outside of a scheduled, agreed session.
  • Report any safeguarding concern — however minor it may seem — to the Company immediately.

4A. Investigations & Transport

4.1 The Company will investigate all safeguarding concerns promptly and may suspend a Tutor's assignments pending investigation. A confirmed breach of Section 4 will result in immediate termination of this Agreement.

4.2 The Tutor acknowledges that the Company arranges tutor transportation only. The Tutor shall not transport a Student under any circumstances unless a separate, explicit written authorization is provided by the Company confirming appropriate licensing, insurance, and legal compliance for child transport.

5. Financial Conduct

5.1 The Tutor shall not, under any circumstances, request, accept, or arrange direct payment from a Parent for tutoring services. All fees are collected by the Company in accordance with its payment policy.

5.2 The Tutor shall not offer, arrange, or accept any private tutoring engagement with a family introduced through the Company, outside of the Company's platform, during the term of this Agreement and for six (6) months following its conclusion.

5.3 Any breach of this Section constitutes a material breach of this Agreement and may result in immediate termination and forfeiture of any outstanding fees owed for unreported or undisclosed sessions.

6. Session Reporting

6.1 The Tutor agrees to submit a session report after every lesson, or at minimum on a weekly basis, using the Company's session report template, covering topics covered, homework status, and any recommended next steps.

6.2 The Tutor agrees to notify the Company promptly of any change in a Student's engagement, attendance pattern, or apparent wellbeing that may be relevant to the family's ongoing service.

6.3 Failure to submit session reports consistently may affect the Tutor's performance rating and continued assignment of Students.

7. Availability & Cancellations

7.1 The Tutor agrees to provide the Company with accurate and updated availability, and to honor confirmed session bookings except in genuine emergency circumstances.

7.2 The Tutor agrees to provide as much advance notice as reasonably possible if unable to attend a scheduled session, so the Company can arrange a replacement tutor or reschedule with the Parent.

7.3 Repeated late cancellations or no-shows without reasonable justification may result in reduced future assignments or termination of this Agreement.

8. Quality & Performance Standards

8.1 The Tutor's performance will be reviewed on a regular basis, considering factors including punctuality, communication, teaching quality, parent feedback, reporting consistency, and reliability.

8.2 Where performance falls below the Company's expected standard, the Company may offer coaching and support in the first instance.

8.3 The Company reserves the right to reduce assignments to, or terminate this Agreement with, any Tutor whose performance does not improve to an acceptable standard following coaching, or whose conduct breaches this Agreement.

9. Independent Status & Liability

9.1 Unless otherwise specified in a separate employment contract, the Tutor operates as an independent service provider and is responsible for their own tax and visa compliance obligations under UAE law.

9.2 The Tutor is responsible for their own transportation arrangements and associated costs, except where the Company has separately agreed to arrange or reimburse transportation as part of a specific engagement.

9.3 The Tutor agrees to exercise reasonable care and professional judgment at all times while delivering Services, and to notify the Company promptly of any incident, injury, or dispute arising during a session.

10. Confidentiality & Data Protection

10.1 The Tutor agrees to keep confidential all personal, academic, and family information encountered in the course of providing Services, both during and after the term of this Agreement.

10.2 The Tutor shall not retain copies of any Student's personal information, session reports, or contact details beyond what is necessary for the current engagement, and shall not use such information for any purpose outside of the Services provided through the Company.

11. Suspension & Termination

11.1 The Company may suspend or terminate this Agreement immediately, without further assignments or outstanding non-session-related fees, in the event of: a confirmed safeguarding breach; falsified information; unauthorized direct payment arrangements; or any other material breach of this Agreement.

11.2 Either party may otherwise terminate this Agreement with reasonable written notice. Fees for sessions already delivered and properly reported remain payable in accordance with the Company's standard payment terms.

12. General Provisions

12.1 This Agreement is governed by the laws of the United Arab Emirates and the applicable regulations of the Ajman Free Zone.

12.2 If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.3 The Company may update this Agreement from time to time. Continued acceptance of assignments after notice of an update constitutes acceptance of the revised terms.

12.4 This Agreement, together with any separate engagement or employment contract, constitutes the entire agreement between the Tutor and the Company regarding the Tutor's engagement.

By signing electronically below, the Tutor confirms they have read, understood, and agree to be bound by this Code of Conduct & Agreement, and understand that safeguarding breaches in particular will result in immediate termination.
